01Agreement

These terms of service govern your use of utopia360.studio and, together with a signed proposal or statement of work, the services Utopia 360 Studio provides to its clients.

Utopia 360 Studio is a brand of LLC “Utopia Studios Group”, a limited liability company registered in Ukraine (company code (EDRPOU) 46147544; registered address: 35 Anny Akhmatovoi St, Apt 3, Kyiv 02068, Ukraine) ("we", "us"). LLC “Utopia Studios Group” is the contracting party for all services provided under the Utopia 360 Studio name.

By using the website or commissioning work you agree to these terms. Where a signed agreement conflicts with these terms, the signed agreement prevails.

02Our services

We produce photorealistic product renders, 360° and AR views, interior scenes, and scalable 3D models based on materials supplied by the client. The scope, deliverables, schedule, and fees for each project are set out in a written proposal. Work begins once the proposal is accepted and any agreed deposit has been received.

03Client materials

You are responsible for providing accurate product files, dimensions, material references, and brand assets, and for confirming that you have the right to share them with us. Delays in receiving materials or approvals may move the delivery schedule accordingly.

04Revisions and approvals

Each proposal states the number of revision rounds included. A revision round is a consolidated set of feedback on a delivered stage: model review, material and lighting review, or final render review. Changes requested outside the agreed scope, or after a stage has been approved, are quoted separately.

Approval of a stage may be given in writing or by proceeding to the next stage.

05Intellectual property

On receipt of full payment, you receive a perpetual, worldwide license to use the final delivered images and views for the purposes described in the proposal, including e-commerce, marketing, print, and retail. We retain ownership of the underlying 3D models, scenes, lighting rigs, and working files unless a buy-out is agreed in writing.

We may display completed work in our portfolio and case studies once the project has launched publicly, unless you ask us not to.

06Fees and payment

Fees are stated in the proposal and exclude VAT where applicable. Unless otherwise agreed, 50% is due on acceptance and the balance on delivery of final files. Invoices are payable within 14 days. We may pause work on overdue accounts and charge statutory interest on late payments.

07Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including unreleased products, pricing, and business plans, and to use it only for the purposes of the project. This obligation survives the end of the engagement.

08Liability

We deliver work with reasonable skill and care. To the extent permitted by law, our total liability arising out of a project is limited to the fees paid for that project, and we are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.

09Cancellation

Either party may end a project with written notice. You will be invoiced for work completed up to the date of cancellation, and any deposit is non-refundable once modeling has begun. Delivered files remain licensed only once paid in full.

10Governing law

These terms, and any dispute or claim arising out of or in connection with them or with the services, are governed by the laws of Ukraine. Any dispute will be brought before the competent courts of Kyiv, Ukraine, unless mandatory consumer protection law in your country of residence provides otherwise.
